Quell Home, LLC Service Agreement

As of January 2026

This Service Agreement (“Agreement”) is entered into between Quell Home, LLC (“Organizer”) and the undersigned client (“Client”) as of the date of digital acceptance or payment as described below. By accepting this Agreement, Client agrees to the terms outlined herein.

1. Services

Organizer will provide professional home organizing services, which may include decluttering, sorting, organizing, and related organizational support.

The specific scope of work, pricing, and anticipated service days are outlined in the Proposal or Estimate accepted by Client and are incorporated into this Agreement by reference.

Organizer is not obligated to complete work outside the agreed-upon scope during scheduled sessions. Additional areas or requests outside the accepted Proposal or Estimate may require a revised Proposal or Estimate.

Organizer does not transport donations, remove trash, or dispose of items unless expressly agreed to in writing.

2. Relationship to Consultations & Planning

This Agreement governs hands-on organizing services provided after Client has completed an initial virtual consultation and/or an in-home planning session.

Any planning services are separate from organizing services and are governed by the Quell Home, LLC Planning Agreement, if applicable.

3. Client Responsibilities

Client agrees to:

  • Be available during sessions, or designate a decision-maker, to make timely decisions.

  • Review and approve items designated for donation, disposal, or relocation.

  • Provide safe and timely access to the workspace, including securing pets if necessary.

  • Disclose any fragile, valuable, or sentimental items prior to the session.

Organizer is not responsible for delays caused by indecision, incomplete access, or unsafe working conditions. Time spent awaiting decisions, approvals, or access is billable.

4. Fees & Payment

Client agrees to pay the fees outlined in the accepted Proposal or Estimate.

4a. Service Deposits

A 50% deposit of the estimated organizing service fees is required to reserve and schedule service dates. This deposit secures Client’s project start date.

The remaining balance for services is due upon invoicing, unless otherwise stated in the accepted Proposal or Estimate.

Organizer reserves the right to pause, reschedule, or withhold services if required deposits or balances are not received by the stated deadlines.

Service deposits are non-refundable and are applied toward the final balance.

4b. Product & Supply Deposits

If organizing products or supplies are required, Organizer will provide a good-faith estimated product cost range. Client acknowledges that product estimates are not guarantees and may vary based on availability, final selections, and supplier pricing.

Client agrees to pay a product deposit equal to the high end of the estimated range no later than two (2) weeks prior to the scheduled product installation date (or earlier if required due to lead times). Product deposits must be paid in full before products are ordered or installations are scheduled, and Client authorizes Organizer to order products using the product deposit once received.

Product deposits will be applied first to product purchases. If actual product costs are expected to exceed the deposit, Organizer will notify Client and obtain written approval before purchasing additional products. Any approved additional product costs will be invoiced and are due prior to ordering. If actual product costs are less than the deposit, the unused portion will be credited toward organizing service fees and is not refundable in cash.

4c. Billing Disputes

Client questions or disputes regarding an invoice must be submitted in writing within five (5) business days of the invoice date. Failure to do so constitutes acceptance of the charges as invoiced. Undisputed amounts remain due and payable while any dispute is being reviewed.

5. Cancellations & Rescheduling

Client must provide at least 48 hours’ notice to cancel or reschedule a session.

Cancellations or rescheduling requests made with less than 48 hours’ notice will result in forfeiture of the service deposit, which is non-refundable except as provided under ‘Cancellations Due to Unforeseen Circumstances.’

Product deposits are non-refundable once product ordering has begun. If a project is canceled prior to product ordering, the product deposit may be applied toward future organizing services at Organizer’s discretion.

Organizer may pause or reschedule services for unpaid balances.

5a. Cancellations Due to Unforeseen Circumstances

In the event a session must be canceled or rescheduled due to severe weather, illness, or family emergency affecting either Client or Organizer, Organizer will make reasonable efforts to reschedule.

In such cases, service deposits will be applied to the rescheduled session and will not be forfeited, provided notice is given as soon as reasonably possible. This exception applies only to circumstances outside either party’s reasonable control and does not apply to scheduling conflicts, travel delays, or changes in availability.

Organizer reserves the right to determine, in good faith, whether circumstances qualify under this provision.

6. Scheduling

6a. Multi-Day Projects

Organizing services are typically provided over multiple days. When Client books an initial service date, that booking reserves the project start date only.

The anticipated number of service days and overall project scope will be outlined in the accepted Proposal or Estimate. Unless otherwise specified in the Proposal or agreed to in writing, multi-day projects are scheduled on consecutive days.

If additional service days are required to complete the project scope, additional days will be scheduled subject to availability and invoiced accordingly.

6b. Calendar Reservation

Upon acceptance of the Proposal or Estimate and payment of the required service deposit, Organizer will reserve the anticipated project window by blocking the necessary service days on Organizer’s calendar. These dates are held exclusively for Client and are not offered to other clients.

6c. Scheduling Flexibility

Requests for non-consecutive service days must be discussed and approved in advance and are subject to availability. Approval of non-consecutive scheduling may impact project duration or efficiency and is not guaranteed.

Changes to the agreed-upon project schedule may require revision of the Proposal or Estimate.

7. No Guarantees

Organizer does not guarantee specific outcomes, timelines, or emotional results. Organizing results depend on Client participation, decision-making, and follow-through.

8. Health & Safety

Organizer may pause or end a session if working conditions are unsafe, unsanitary, or present a health risk, and time spent addressing these conditions remains billable.

9. Liability & Damages

Organizer will exercise reasonable care while performing services. However:

  • Organizer is not responsible for damage to pre-existing conditions, normal wear and tear, or undisclosed fragile items.

  • Organizer is not responsible for items approved by Client for donation, disposal, or relocation once removed from the space. Client will provide written approval prior to removal (which may include an itemized or category-based removal list and/or photo record) and releases Organizer from any claims related to the disposal, donation, or relocation of such items.

Organizer’s total liability, if any, shall be limited to the amount paid by Client for the services giving rise to the claim. Any claims must be submitted in writing within thirty (30) days of the service date.

10. Insurance

Organizer maintains general liability insurance. Proof of insurance is available upon request.

11. Confidentiality & Photos

Client information and home details are treated as confidential.

Before-and-after photos will not be used publicly without Client’s explicit written consent. Any approved photos will not include identifying details unless expressly authorized by Client.

Organizer may retain project photos for internal business records.

12. Independent Contractor

Organizer is an independent contractor and is not an employee or agent of Client.

13. Termination

Either party may terminate services at any time. Client is responsible for payment for services performed up to the termination date.

All earned planning fees (if applicable) and service deposits remain non-refundable upon termination by Client.

14. Governing Law

This Agreement shall be governed by the laws of the State of Illinois.

15. Entire Agreement

This Agreement, together with the accepted Proposal or Estimate, constitutes the entire agreement between the parties. Any modifications must be made in writing and accepted by both parties.

16. Digital Acceptance

By accepting this Agreement electronically, Client acknowledges that they have read, understood, and agree to all terms outlined above. Acceptance may be evidenced by electronic signature or by payment of an invoice issued pursuant to this Agreement.
